HooRii Terms of Service
Last updated: 19 October 2026
For new users, these Terms apply when first accepted after publication. For existing users, this revision applies on the effective date specified in the notice provided under Section 14, subject to any affirmative consent required by applicable law. The last-updated date does not replace that notice or shorten its required period.
1. Who we are and these Terms
These Terms of Service ("Terms") govern your use of HooRii, our website at https://hoorii.io and its subdomains, our HooRii iOS application, and related software, content, and services (collectively, the "Services"). The Services are provided by HooRii Technology (HK) Limited, a company registered in Hong Kong ("HooRii", "we", "us", or "our").
Our contact address is Rm.1002, 10/F, Easey Comm. Bldg., 253–261 Hennessy Road, Wanchai, Hong Kong. Contact us at contact@hoorii.io.
By registering for or using the Services, you agree to these Terms. If you do not agree, do not use the Services. Nothing in these Terms excludes or restricts rights or remedies that cannot lawfully be excluded or restricted, including applicable consumer rights in your country or region.
Our Privacy Policy explains how we handle personal information. Acceptance of these Terms does not replace any separate consent required by law for processing personal information. If the documents overlap, the Privacy Policy governs personal-information processing, and these Terms govern contractual use and payment, always subject to applicable mandatory law.
2. Eligibility and accounts
2.1. Minimum age
You must be at least 16 years old to use the Services. If you are 16 or 17, you must have permission from your parent or legal guardian. Where applicable law requires additional parental involvement or a higher minimum age for a feature or transaction, those requirements also apply. You must not misrepresent your age.
If we discover that a person under 16 has an account, we will block access and delete the account and associated personal information in accordance with our Privacy Policy and applicable legal-retention requirements. Parents and guardians may contact contact@hoorii.io about an underage account.
2.2. Registration and security
HooRii currently supports email-and-password registration and login. Provide accurate and current registration information, and keep your credentials confidential. Do not share, sell, or transfer your account. Notify us promptly if you suspect unauthorized access.
You are responsible for your use of your account and for taking reasonable steps to protect it. You are not automatically responsible for every unauthorized action merely because it occurred under your account. Responsibility will depend on the circumstances and applicable law. We remain responsible for our own security obligations.
2.3. Inactive accounts
We do not close accounts or delete points or content solely because you have not logged in for a long time. This does not override the ordinary retention periods in our Privacy Policy, your deletion requests, enforcement under Section 10, or a service closure under Section 11.
3. Services and AI limitations
HooRii provides AI companion conversations through text and voice, character creation, Creative Workshop features, and related functionality. Features, point costs, and subscription benefits are described within the Services and on the applicable purchase screen.
AI responses are generated automatically and may be inaccurate, incomplete, inappropriate, or similar to responses provided to other users. They do not represent statements by a human or professional advice. Evaluate outputs before relying on or sharing them. The Services are not a substitute for medical, mental-health, legal, financial, or other professional services, and must not be relied on for emergency assistance. Contact local emergency services when immediate help is needed.
Relevant conversation context may be processed by third-party AI and speech providers as described in the Privacy Policy. We do not use your conversations, uploaded audio, or AI memory to train or fine-tune our own models. This statement does not promise zero retention by third-party providers; their processing is addressed in the Privacy Policy.
4. Personal use and acceptable conduct
4.1. Personal, non-commercial use
The Services and content you create or generate through them, including characters, text, and images, are for personal, non-commercial use only. You may not sell, commercially license, monetize, or use such content in commercial products, services, advertising, or business activities without our separate written authorization. A paid subscription or points purchase does not itself grant commercial-use permission. This contractual restriction does not transfer your content ownership to us.
4.2. Prohibited conduct
You must not:
- Upload or use content unlawfully or in violation of another person's copyright, trademark, privacy, publicity, or other rights. Obtain necessary permissions for third-party images, voices, and other personal information.
- Upload child sexual exploitation material, sexually exploit minors, groom minors, or use the Services for unlawful sexual content, threats, harassment, hateful abuse, or unlawful violence.
- Commit fraud, impersonate others deceptively, facilitate criminal activity, or disclose another person's private information without lawful authority.
- Send spam or unauthorized advertising, harvest users' contact details, or solicit personal information from anyone under 18.
- Upload malware, attack or disrupt the Services, bypass access controls, evade an account restriction, or access data not intentionally made available to you.
- Scrape or extract service data through bots or similar automated methods without authorization, except where applicable law permits activities that cannot be restricted by contract.
- Copy, resell, commercially exploit, or reverse engineer the Services or software except as expressly authorized or permitted by applicable law notwithstanding this restriction.
You are responsible for ensuring that the content you submit and your use of outputs comply with applicable law. Reporting and enforcement are addressed in Sections 8 and 10.
5. Subscriptions, purchases, and points
5.1. Payment channels and purchase information
Paid purchases are currently offered only through Apple App Store in-app purchases. We offer automatically renewing monthly and annual subscriptions and one-time purchases of points. Applicable prices, currencies, taxes, billing periods, point quantities, benefits, and eligibility conditions are displayed before purchase. Apple processes payments under the terms applicable to your Apple account; we do not directly charge your payment card.
If we later offer Google Play purchases, the applicable Google Play billing and cancellation terms and purchase disclosures will apply to those purchases. Google Play purchasing is not currently offered. Availability of a future store does not automatically transfer existing subscriptions or balances between stores.
5.2. Automatic renewal and cancellation
Monthly and annual subscriptions automatically renew for the disclosed billing period unless canceled through your Apple subscription settings in accordance with the cancellation deadline shown by Apple. Manage or cancel subscriptions at https://apps.apple.com/account/subscriptions or through your device's subscription settings.
Turning off automatic renewal does not end an already paid subscription period. Your subscription benefits and remaining subscription-granted points remain valid until that period ends, unless a refund or other lawful termination changes your entitlement. Uninstalling HooRii or deleting your HooRii account does not by itself cancel an Apple subscription; separately manage it with Apple.
Free experience is currently provided through complimentary points without a time limit. This is not a time-limited subscription trial that automatically converts to a paid subscription. Any future subscription-trial offer must separately disclose its duration, subsequent price, and renewal and cancellation conditions before enrollment.
5.3. Categories and expiry of points
| Point category | Validity |
|---|---|
| Complimentary points provided for free experience | No time-based expiry; remaining subscribed is not required. |
| Points purchased separately through a one-time purchase | No time-based expiry; remaining subscribed is not required. |
| Points granted as a monthly or annual subscription benefit | Accumulate and remain valid while the subscription stays active. All unused subscription-granted points expire immediately when the paid subscription period ends without renewal. Turning off renewal does not cause early expiry. |
Subscription expiry does not cause complimentary free-experience points or separately purchased points to expire. "No expiry" refers to the absence of a time-based expiry date; it is not a promise that the Services will operate forever. Account deletion, enforcement, refunds, and permanent service closure are addressed separately below and remain subject to mandatory consumer rights.
5.4. Deduction order and use
When you hold more than one category, points are deducted in this order:
- Subscription-granted points.
- Complimentary free-experience points.
- Separately purchased points.
The applicable point cost is displayed before a point-consuming action. Points are service-use credits, not money, a bank balance, or an investment. They are not transferable or redeemable for cash except where applicable law requires otherwise. If a balance or deduction appears incorrect, contact contact@hoorii.io. We will investigate and correct verified errors.
5.5. Refunds and purchase problems
For Apple purchases, request refunds through Apple's process at https://reportaproblem.apple.com. Eligibility and processing are subject to Apple's applicable rules and mandatory law. Contact us for help investigating missing entitlements or incorrect balances. These Terms do not impose a blanket no-refund rule or exclude any refund or remedy required by law.
A refund or reversed transaction may result in removal of the corresponding refunded entitlement or unused points, subject to applicable law. We will not remove unrelated valid purchases merely because a different purchase is disputed or refunded.
5.6. Price and benefit changes
Price changes apply prospectively, follow the applicable store's notification and consent requirements, and do not retroactively change completed purchases. Material changes to paid benefits or point-validity rules are subject to Sections 11 and 14 and mandatory law. We will not silently impose additional charges or use a notice to replace consent required by law or the store.
6. Intellectual property and content rights
6.1. HooRii materials
We and our licensors retain rights in the software, trademarks, designs, and other service materials. Subject to these Terms, you receive a limited, non-exclusive, non-transferable permission to access and use the Services for personal, non-commercial purposes. No ownership in our technology or trademarks is transferred to you.
6.2. Your inputs and outputs
You retain any rights you hold in content you submit. Submit only content you own or are authorized to use and to license as necessary under these Terms; you need not own every right if you have sufficient permission.
As between you and HooRii, to the extent permitted by applicable law, you retain rights in your original contributions and we assign to you any rights we may hold in outputs generated for you, excluding our pre-existing service materials and third-party rights. AI outputs may not qualify for intellectual-property protection, may resemble other outputs, and are not guaranteed to be exclusive or free of third-party rights. Your rights and use remain subject to the personal, non-commercial restriction in Section 4.1. A violation of these Terms does not itself transfer your content ownership to us.
6.3. Limited operational license
You grant us a non-exclusive, worldwide, royalty-free license to process, reproduce, store, transmit, display, and technically adapt your content only as reasonably necessary to provide the features you request and the uses expressly described in our Privacy Policy. Service providers may exercise these permissions on our behalf only as necessary for those purposes and subject to appropriate restrictions.
Private conversations and unpublished content are not licensed for public display, advertising, or promotion. Relevant portions may be transmitted to AI or speech providers to deliver the requested functionality. Employee review of private conversations, audio, or AI memory is limited to content you voluntarily submit for support, as described in the Privacy Policy.
6.4. Published Creative Workshop content
When you intentionally publish a character or other Creative Workshop content, you authorize us to display and distribute it to users through the relevant feature and to make the technical adaptations necessary for that feature. Publication does not grant unrestricted reuse or commercial rights to other users. Private conversations are not made public merely because they involve a published character.
When you delete published content or delete your account, we will stop public display and remove associated server content under the deletion process and retention rules in the Privacy Policy. Operational permissions end when no longer necessary, subject to limited legal retention and completion of the applicable deletion process. This is not a perpetual or irrevocable advertising license. We cannot guarantee deletion of independent copies that others lawfully obtained outside our control.
6.5. Advertising and feedback
We will obtain your separate express agreement before using your content in advertisements or promotional materials. You are not required to grant that permission to use the Services. Any such agreement must identify its scope and applicable conditions.
If you voluntarily provide product suggestions or feedback, we may use those suggestions to operate and improve the Services without compensation. This permission does not authorize public disclosure of private support material or marketing use of conversations, audio, AI memory, or other user content.
7. Privacy, storage, and account deletion
The Privacy Policy describes storage locations, provider processing, retention periods, and your personal-information rights. In particular:
- Chat history and AI memory are stored locally on your device. For cross-device synchronization, we also retain a limited recent-chat copy on our servers in Singapore: only messages within the latest 3 days and no more than the latest 200 messages are kept, with older messages removed whenever either limit is exceeded. This server-copy limit does not determine local retention. AI memory is not stored on our servers as synchronization data. Relevant conversation context and AI memory may still be transmitted to providers to deliver responses.
- Uploaded audio is temporary speech-to-text input and is deleted from our servers after conversion. Creative Workshop does not store audio.
- Ordinary uploaded images and files are retained for 14 days from upload. Creative Workshop character content is retained until you delete it or your account is deleted.
To request account deletion under the current process, contact contact@hoorii.io. After identity verification, we complete account deletion and delete associated server personal information within 1–3 business days, subject to specific legal-retention obligations. This includes the recent-chat synchronization copy and all your Creative Workshop content, including published content. Provider retention and backup limitations are described in the Privacy Policy; our account-deletion timeframe is not a promise about independently retained provider data.
You must separately clear App data or uninstall the App to remove locally stored chat history and AI memory; device or operating-system backups may require separate action. Account deletion is different from temporarily disabling access. Before deleting your account, consider any unused points and manage active subscriptions through Apple. We will explain the effect on access and balances before completing deletion, without obstructing your deletion rights or overriding mandatory refund rights.
We do not require you to implement server encryption or back up registration records as a condition of our own security responsibilities. Keep any personal copies you need using available lawful methods; we do not promise a content-export feature that is not offered.
8. Copyright and other rights complaints
Send alleged infringement complaints to contact@hoorii.io, identifying:
- The protected work or right and your ownership or authority to act.
- The allegedly infringing material and its location within the Services, with enough information for us to locate it.
- Your name and contact information.
- Your good-faith explanation of why the use is unauthorized and confirmation that your information is accurate.
Provide supporting material where available; registration is not required merely to submit a complaint. We may request information reasonably necessary to assess it, restrict or remove content, notify the affected user, and accept an appeal or evidence of authorization through the same email. We may act against repeated infringement in accordance with Section 10.
Where a specific statutory notice or counter-notice procedure applies, we will follow that procedure and communicate any required additional information or deadlines. These Terms do not designate a US statutory agent, impose California federal-court consent, or promise automatic restoration on a fixed timetable regardless of applicable law.
9. Third parties and communications
Links or integrations may involve third parties whose services are governed by their own applicable terms and privacy practices. Their involvement does not relieve us of responsibilities we retain under applicable law or our own commitments. AI and speech processing is described in our Privacy Policy. We do not currently offer social-platform login or access users' social-media accounts through such login.
We may send necessary account, purchase, security, and service notices to your registered email address or through the App as appropriate. We do not send SMS or MMS messages. Promotional-email choices are governed by the Privacy Policy and any consent required by law; agreeing to these Terms is not blanket consent to marketing.
Your internet or mobile provider may charge data or roaming fees, which are your responsibility under your arrangement with that provider.
10. Content enforcement, suspension, and appeals
We may restrict content, features, or accounts where reasonably necessary because of a breach of these Terms, fraud, infringement, security risks, or a legal requirement. We will consider the nature and seriousness of the issue and normally explain the reason and any available corrective steps. Urgent protection or legal restrictions may require action without prior notice or limit what we can disclose.
You may report problematic content or appeal a decision by emailing contact@hoorii.io, identifying the affected account or content and the reason for your report or appeal. We will review it and correct a decision where appropriate. We do not reserve an unrestricted right to terminate an account for no reason.
Suspension or termination does not automatically eliminate statutory refund rights or entitle us to confiscate unrelated paid balances. Any effect on paid entitlements must be proportionate, explained where lawful, and consistent with mandatory law and applicable store rules. You may continue to manage Apple subscriptions through Apple even if HooRii access is restricted.
11. Service changes and closure
We may maintain, update, or change the Services. For planned changes materially affecting paid benefits, or permanent discontinuation, we will normally give at least 30 days' advance notice by email or in the App. Legal requirements, urgent security risks, or other genuine emergencies may require shorter notice; where lawful and practicable, we will explain the change promptly.
If we permanently discontinue the Services, we will address unfulfilled paid subscription periods and unused separately purchased points through refunds or other appropriate remedies under applicable law and relevant store rules. We will not rely on a blanket disclaimer to avoid these obligations. Non-expiring points do not require perpetual operation of the Services. We will provide relevant instructions about subscriptions and content deletion in the closure notice.
12. Warranties and liability
12.1. Service warranties
To the extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis without additional warranties of uninterrupted availability, perfect security, accuracy, fitness for a particular purpose, or non-infringement of AI outputs. This does not exclude express commitments in these Terms, our obligation to exercise legally required care, or statutory warranties and consumer remedies.
12.2. Liability limits
Subject to Section 12.3 and applicable law, we are not liable for indirect or consequential losses, lost profits, or business losses arising from use of the Services. To the extent a loss is legally classified differently or cannot lawfully be excluded, this exclusion does not apply.
Subject to Section 12.3, our total aggregate liability for claims arising from or relating to the Services or these Terms will not exceed the greater of (a) the fees you paid for HooRii Services during the six months preceding the event giving rise to the claim and (b) USD 100, or its equivalent in the applicable currency. This limit applies only to the extent permitted by applicable law and does not reduce a refund or other consumer remedy that the law requires us to provide.
12.3. Responsibilities that are not excluded
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, willful misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited. Where a restriction is invalid or must satisfy a statutory reasonableness or fairness requirement, it applies only to the extent valid under that requirement. You retain all mandatory consumer rights and remedies; stopping use is not your sole remedy.
13. Responsibility for third-party claims
Only to the extent permitted by applicable law, you will indemnify us for reasonable losses and expenses arising from a third-party claim caused by your unlawful conduct, infringement of third-party rights, or culpable breach of these Terms. This obligation applies only to the extent attributable to your conduct, not our own breach, negligence, or other wrongdoing, and does not arise simply because you used the Services or had a disagreement with another user.
We will promptly notify you of a claim where reasonably practicable, take reasonable steps to mitigate losses, and allow a reasonable opportunity to participate in responding. We will not agree to a settlement that imposes obligations on you without your consent, not to be unreasonably withheld. The indemnity does not override protections applicable to consumers or minors. Either party may seek appropriate relief available under applicable law; these Terms do not waive court-required security or automatically establish irreparable harm.
14. Changes to these Terms
We may revise these Terms to reflect service changes, legal requirements, or other legitimate needs. We will identify the publication and effective dates of each released version.
For material changes affecting fees, point validity, content permissions, or dispute resolution, we will provide at least 30 days' advance notice by registered email or an in-App notice identifying the change and effective date. Legally required changes or urgent security measures may take effect sooner where necessary; we will notify you as soon as reasonably practicable.
Where affirmative agreement is required by law or store rules, we will obtain it before applying the relevant change; continued use or a notice does not replace required consent. Changes do not retroactively remove accrued mandatory rights, and paid entitlements remain subject to Sections 5 and 11. You may stop using the Services and cancel future subscription renewal if you do not accept a change, without losing any remedy required by law.
15. Governing law and disputes
These Terms are governed by the laws of the Hong Kong Special Administrative Region, without depriving you of mandatory protections under the laws that apply to you as a consumer.
Contact contact@hoorii.io to seek an informal resolution. Doing so is not a mandatory prerequisite to a legal claim, does not shorten a statutory limitation period, and does not prevent urgent relief or regulatory complaints.
Subject to any mandatory right to use another court or tribunal, disputes may be brought before the competent courts of Hong Kong, and the parties submit to their non-exclusive jurisdiction. Where applicable consumer law entitles you to bring proceedings in your home jurisdiction or requires us to sue you there, that right is preserved. These Terms do not require arbitration, impose a class-action waiver, or shorten statutory claim periods to one year.
16. Other terms and Apple-specific provisions
16.1. General provisions
These Terms and applicable purchase disclosures form the agreement governing your use of the Services. The Privacy Policy governs personal-information processing as described in Section 1. If a provision is unenforceable, the remainder continues to apply to the extent lawful. Failure to enforce a term immediately is not a waiver.
You may not transfer your account or contractual rights without our consent, except where applicable law permits. We may transfer this agreement in a merger, reorganization, or sale of the relevant business, provided the transfer does not reduce your accrued rights or mandatory protections. Any personal-data transfer remains subject to the Privacy Policy and applicable law; we will provide legally required notice.
These Terms do not create a partnership, agency, or employment relationship. English is the reference version if translations differ, except where mandatory law requires a local-language version to prevail or otherwise protects the user's interpretation rights.
16.2. Apple-distributed application
These Terms are between you and HooRii, not Apple. HooRii is responsible for the application, content, support, maintenance, applicable product, compliance, consumer and privacy claims, and investigating, defending and resolving application-related intellectual-property claims. Apple has no support or maintenance obligation. For an applicable warranty failure, notify Apple for refund of any application purchase price; to the lawful maximum Apple has no further warranty obligation, and HooRii bears other applicable warranty liabilities.
The application license covers Apple-branded products you own or control under App Store usage rules, including permitted Family Sharing and volume purchasing. Comply with applicable third-party terms, export and sanctions laws. You represent that you are not in a US-embargoed or US-designated terrorism-supporting country or on a US prohibited or restricted-party list, as required by Apple's distribution terms.
Apple and its subsidiaries are third-party beneficiaries entitled to enforce this iOS agreement upon acceptance. Mandatory consumer rights remain unaffected. Direct questions, complaints and claims to HooRii using Section 1's address and email.
